黨的十八屆五中全(quan)會(hui)強調,以管(guan)(guan)資本(ben)為主加(jia)強國(guo)(guo)有資產(chan)監管(guan)(guan)。這為完善國(guo)(guo)有資產(chan)管(guan)(guan)理(li)體制進一步指明(ming)了方(fang)向,對于國(guo)(guo)有資本(ben)優(you)化布(bu)局、規范運作、提高回報、維護(hu)安(an)全(quan)都(dou)具(ju)有重要意(yi)義。
以管資本為主加強國有資產監管意義重大
深入推進政(zheng)企(qi)分(fen)(fen)開(kai)(kai)政(zheng)資(zi)(zi)(zi)分(fen)(fen)開(kai)(kai)、形成面向創新發展的國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)體制(zhi)(zhi)的需(xu)要(yao)。我國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)體制(zhi)(zhi)改革(ge)與國(guo)(guo)(guo)有(you)企(qi)業(ye)改革(ge)相(xiang)伴相(xiang)生,始終(zhong)圍(wei)繞(rao)正確處理(li)(li)(li)政(zheng)府(fu)與企(qi)業(ye)的關系逐步深入。1988年國(guo)(guo)(guo)家(jia)(jia)設立(li)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)局,探(tan)索由專(zhuan)門機構(gou)統(tong)一負責國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產基礎管(guan)(guan)理(li)(li)(li)等工作(zuo)。2002年黨的十六大提出,“建立(li)中央政(zheng)府(fu)和(he)地(di)(di)方(fang)政(zheng)府(fu)分(fen)(fen)別(bie)代表(biao)國(guo)(guo)(guo)家(jia)(jia)履行(xing)出資(zi)(zi)(zi)人職責,享有(you)所(suo)有(you)者權(quan)益,權(quan)利、義務(wu)和(he)責任(ren)相(xiang)統(tong)一,管(guan)(guan)資(zi)(zi)(zi)產和(he)管(guan)(guan)人、管(guan)(guan)事相(xiang)結(jie)合的國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)體制(zhi)(zhi)”,在“中央政(zheng)府(fu)和(he)省、市(地(di)(di))兩級地(di)(di)方(fang)政(zheng)府(fu)設立(li)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產管(guan)(guan)理(li)(li)(li)機構(gou)”。國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產出資(zi)(zi)(zi)人監(jian)管(guan)(guan)體制(zhi)(zhi)的確立(li),有(you)力(li)提升了國(guo)(guo)(guo)有(you)經(jing)濟發展質量和(he)運行(xing)效率,但政(zheng)企(qi)不(bu)分(fen)(fen)、政(zheng)資(zi)(zi)(zi)不(bu)分(fen)(fen)問題依然存(cun)在,國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產監(jian)管(guan)(guan)工作(zuo)還存(cun)在越位、缺位、錯位等問題。必須按(an)照以管(guan)(guan)資(zi)(zi)(zi)本(ben)為主加強國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產監(jian)管(guan)(guan)的要(yao)求,繼續推進政(zheng)企(qi)分(fen)(fen)開(kai)(kai)、政(zheng)資(zi)(zi)(zi)分(fen)(fen)開(kai)(kai)、所(suo)有(you)權(quan)與經(jing)營權(quan)分(fen)(fen)離,破除影響(xiang)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本(ben)服務(wu)創新發展的體制(zhi)(zhi)機制(zhi)(zhi)弊端。
強化國(guo)(guo)有(you)企(qi)業(ye)(ye)市場主(zhu)(zhu)體(ti)地位、激發(fa)企(qi)業(ye)(ye)活(huo)力(li)的需要。經(jing)過多(duo)年改革發(fa)展,公(gong)司制股份(fen)制成為(wei)(wei)(wei)國(guo)(guo)有(you)企(qi)業(ye)(ye)的重要組(zu)織形(xing)式。直接管理企(qi)業(ye)(ye)的方式已經(jing)不適(shi)應國(guo)(guo)有(you)企(qi)業(ye)(ye)組(zu)織形(xing)式的深(shen)刻變革,必須(xu)按照(zhao)公(gong)司治理規(gui)則,以管資本為(wei)(wei)(wei)主(zhu)(zhu)明(ming)確國(guo)(guo)有(you)資產監管機構職責定(ding)位,保護公(gong)司制企(qi)業(ye)(ye)法人財產權(quan),保障國(guo)(guo)有(you)企(qi)業(ye)(ye)作為(wei)(wei)(wei)獨立市場主(zhu)(zhu)體(ti)依法自(zi)(zi)(zi)主(zhu)(zhu)經(jing)營、自(zi)(zi)(zi)負盈虧、自(zi)(zi)(zi)擔風險(xian)、自(zi)(zi)(zi)我(wo)約束、自(zi)(zi)(zi)我(wo)發(fa)展,在(zai)市場競爭中成為(wei)(wei)(wei)實施(shi)創(chuang)新驅動發(fa)展戰(zhan)略、建設創(chuang)新型國(guo)(guo)家的中堅力(li)量。

積極落實以管資本為主加強國有資產監管的主要任務
轉變國(guo)有(you)資(zi)(zi)產監管(guan)機構職能。準(zhun)確(que)把握依(yi)法(fa)履行(xing)出資(zi)(zi)人職責(ze)(ze)的(de)定位(wei)(wei)(wei),實(shi)現以(yi)管(guan)企(qi)業(ye)(ye)(ye)為(wei)主向以(yi)管(guan)資(zi)(zi)本(ben)為(wei)主轉變。科學界定國(guo)有(you)資(zi)(zi)產出資(zi)(zi)人監管(guan)的(de)邊界,建立監管(guan)權力清單(dan)和(he)責(ze)(ze)任清單(dan),做到(dao)該(gai)管(guan)的(de)科學管(guan)理、決不(bu)(bu)缺位(wei)(wei)(wei),不(bu)(bu)該(gai)管(guan)的(de)依(yi)法(fa)放(fang)權、決不(bu)(bu)越位(wei)(wei)(wei)。將(jiang)依(yi)法(fa)應由企(qi)業(ye)(ye)(ye)自主經營決策的(de)事(shi)項歸(gui)位(wei)(wei)(wei)于企(qi)業(ye)(ye)(ye),將(jiang)延(yan)伸到(dao)子企(qi)業(ye)(ye)(ye)的(de)管(guan)理事(shi)項原則上歸(gui)位(wei)(wei)(wei)于一級企(qi)業(ye)(ye)(ye),將(jiang)配合承(cheng)擔的(de)公共管(guan)理職能歸(gui)位(wei)(wei)(wei)于相關(guan)政府部門和(he)單(dan)位(wei)(wei)(wei)。要圍繞(rao)以(yi)管(guan)資(zi)(zi)本(ben)為(wei)主加(jia)強國(guo)有(you)資(zi)(zi)產監管(guan)的(de)重點任務、關(guan)鍵環節,積極(ji)開展試點,探索有(you)效途(tu)徑和(he)方(fang)式,形成可(ke)復制、可(ke)推廣的(de)經驗和(he)模式。
推(tui)動國有(you)企業(ye)成為獨立市場主(zhu)體(ti)。推(tui)進公司制(zhi)股(gu)份制(zhi)改革,健全權(quan)責(ze)對等、協調運轉、有(you)效制(zhi)衡的(de)公司法人治理(li)機制(zhi),落(luo)實和維(wei)護董事(shi)會(hui)依法行使(shi)重大決策、選人用人、薪酬(chou)分配等權(quan)利,保障經(jing)理(li)層(ceng)經(jing)營自主(zhu)權(quan)。推(tui)行職業(ye)經(jing)理(li)人制(zhi)度(du)(du),合理(li)增(zeng)加市場化選聘比(bi)例。深(shen)化企業(ye)內(nei)部管理(li)人員能(neng)上能(neng)下、員工能(neng)進能(neng)出、收入能(neng)增(zeng)能(neng)減(jian)的(de)制(zhi)度(du)(du)改革。
